31 January 2018: Niederer Kraft & Frey wins Best Swiss Law Firm award at Trophées du Droit Awards ceremony

Niederer Kraft & Frey won Best Swiss Law Firm at the Trophées du Droit Awards Ceremony by Leaders League at the Pavillon d'Armenonville in Paris on 24 January 2018. The jury said that the firm earned the title with its innovative culture-building initiatives and by providing a vision for the future of Swiss law firms.

After a first selection round run by the editors and research team of Leaders League (the leading directory for the French speaking legal market), the firms shortlisted for the title Best Swiss Law Firm were assessed based on their oral presentations held in front of a jury consisting of general counsels of large corporations from various industries.

The annual Trophées du Droit Awards ceremony in Paris with around 1.000 guests brings together the most important players of the French speaking legal market in order to recognise and honour legal excellence.

8 February 2018: NKF partners Andreas F. Vögeli, Till Spillmann and Daniel Eisele win ILO Client Choice Awards in London

At this year's International Law Office (ILO) Client Choice Awards ceremony in London, three partners from Niederer Kraft & Frey won a prestigious Client Choice Award 2018. Andreas F. Vögeli won the award in the category Real Estate Switzerland for the second time in a row. Till Spillmann, who joined the firm as a partner on 1 January 2018, won the award in the category Capital Markets Switzerland. Daniel Eisele won the award in the category Litigation Switzerland for the fourth time.

At the award ceremony in London which was attended by more than 200 winners and guests from more than 40 countries, NKF was the only law firm worldwide winning titles in three different categories.

5 April 2018: NKF GDPR Workshop - Practical Tips

Every company in Switzerland processes personal data. Also most Swiss companies bear a reference to the EU, by virtue of e.g. rendering services or offering goods to EU citizens, having a branch in the EU and processing personal data in this context. In such cases the General Data Protection Regulation (GDPR) will also apply to Swiss companies. The GDPR will be applicable as from 25 May 2018. The grace period for the implementation of the GDPR is running since 25 May 2016. This means that every Swiss company which is subject to the GDPR must be ready then. This is a matter of compliance. In parallel the Swiss Data Protection Act (DPA) is being revised in order to be aligned with the GDPR.

18 December 2017: Niederer Kraft & Frey cements the excellence of its transactions practice with the lateral hire of partner Till Spillmann

Niederer Kraft & Frey is pleased to announce that Dr Till Spillmann will join NKF as of 1 January 2018. He will be followed by his core team Adrian Koller, Andrea Giger and Ivo von Büren later in 2018.

Till Spillmann, who will join NKF as a Partner in the transactions team, is an internationally recognised expert in private and public M&A, capital markets and financing transactions. Over the past decade he has built remarkable expertise advising banks, corporates and private equity firms on numerous high-profile mergers & acquisitions, capital markets and financing transactions, as well as on corporate restructurings. He also advises on corporate governance and other corporate and commercial law matters. Till is a founder and member of the editorial board of GesKR, a leading law journal on corporate and capital markets law in Switzerland. He regularly speaks and writes articles and legal commentaries on topics within his fields of practice.

8 December 2017: NKF Client Alert: NKF Banking, Finance & Regulatory Team – Update 7/2017: Publication of the revised FINMA-Circular 2018/3 "Outsourcing – banks and insurance companies"

The Swiss Financial Market Supervisory Authority revised the Circular 2008/7 "Outsourcing banks" ("Cir 2008/7") and published the final draft on 5 December 2017. The revised Circular FINMA-Cir 2018/3 "Outsourcing – banks and insurance companies" ("Circular") applies to banks, securities traders and now also applies to insurance companies. Various suggestions from the consultation procedure were included into the final version. The revised version of the Circular will enter into force on 1 April 2018.

29 September 2017: NKF Client News: Mögliche Auswirkungen des FIDLEG und FINIG auf Vorsorgeeinrichtungen und Anlagestiftungen – Publikation in der Schweizer Personalvorsorge

Die finanzmarktrechtlichen Neuerungen im FIDLEG und im FINIG betreffen insbesondere die externen Vermögensverwalter von Vorsorgevermögen inklusive Anlagestiftungen. Die Vorsorgeeinrichtungen und Anlagestiftungen sind demgegenüber direkt nicht betroffen. Sie haben jedoch gewisse Möglichkeiten, durch Opting-out oder Opting-in das Kundensegment zu wechseln, dem sie von Gesetzes wegen unterstehen. Sodann geniessen sie einen erhöhten Kundenschutz und, so das Ziel der Gesetzgebung, können professionellere und qualitativ bessere externe Vermögensverwaltungsdienstleistungen in Anspruch nehmen.

Handlungsbedarf

Seitens der Vorsorgeeinrichtungen und Anlagestiftungen sind die externen Vermögensverwaltungsmandate zu überprüfen und gegebenenfalls anzupassen. Auch eine Neueinschätzung der Vor-und Nachteile der internen gegenüber der externen Vermögensverwaltung ist mitunter sinnvoll.

Direkter Handlungsbedarf besteht dagegen für externe Vermögensverwalter sowie für Anlageberater.

27 September 2017: NKF Client Alert: Update on the Revision of the Swiss Data Protection Act

On 15 September 2017 the Swiss Federal Counsel published the draft of the revised Swiss Data Protection Act (“Revised DPA”) following the consultation procedure on the Predraft of 21 December 2016 ("Predraft"). The Revised DPA takes into account some of the criticism raised against the Predraft by correcting and specifying a range of data protection duties and abolishing in many instances the so-called "Swiss Finish" (i.e. provisions which were more extensive than the ones under the General Data Protection Regulation, "GDPR"). As regards the content, the Revised DPA is now closer aligned with the provisions of the GDPR than the Predraft was.


Please kindly note the following summary of the most relevant changes introduced by the Revised DPA in comparison to the Predraft:


Reduced: Amount of Fines (Articles 54 et seq. Revised DPA)


The major source of criticism against the Predraft were the fines for non-compliance with certain duties. The Revised DPA now reduces such fines (from previously CHF 500,000 in the Predraft) to a maximum amount of CHF 250,000 in the case of intent. While liability for negligence (previously fined with up to CHF 250,000 in the Predraft) has been abandoned in the Revised DPA, it still maintains the principle, that fines shall be imposed on natural persons being responsible for data protection and only in the second degree on companies with a maximum charge of CHF 50,000 (previously CHF 100,000 in the Predraft). The Swiss Federal Data Protection and Information Commissioner ("FDPIC") is disappointed about this outcome and comments on this as follows in his notice of 15 September 2017: "[…] the proposed sanctions (a maximum fine of CHF 250,000) are a very weak deterrent when compared with those in the GDPR (20 million euros or 4 per cent of the annual turnover). Moreover, he fears that in practice they will affect subordinate employees of the miscreant enterprises rather than the enterprises themselves."


New, only fines shall be imposed for the breach of certain co-operation duties towards the FDPIC, breach of information duties, breach of the cross-border data transfer duties, breach of duties relating to data processing by third parties and breaches relating to data security requirements. No longer punishable are violations in connection with privacy impact assessments and breach notifications as suggested under the Predraft.


New: Data Protection Counsel (Article 9 Revised DPA)


The Revised DPA introduces the new role of the "Data Protection Counsel" who can be designated by private companies (controllers) inter alia in order to be relieved from the obligation to consult the FDPIC, if a privacy impact assessment reveals a high data protection risk. Similar to the corporate Data Protection Officer under the GDPR, the Data Protection Counsel under the Revised DPA has to have expert knowledge, fulfill his tasks independently, may not receive any instructions by the data controller with regard to his tasks as Data Protection Counsel and must not perform any tasks that result in a conflict of interests.


Specified: Index of Processing Activities (Article 11 Revised DPA) and Privacy Impact Assessment (Article 20 Revised DPA)


The Revised Draft now further specifies the content (i) of the index of data processing activities to be maintained and (ii) of the data protection impact assessment to be conducted by controllers and processors.


The index of data processing activities has to indicate the identity of the controller, the purpose, categories of data subjects concerned and categories of personal data as processed, categories of recipients, retention period, measures implemented to ensure data security and in the event of cross-border data transfers, the indication of the country and the guaranties implemented. Moreover, the index has to be notified to the FDPIC. Also the processor has to maintain such an index, however, with fewer indications to list than the controller. Companies with less than 50 employees are exempted from this obligation. As regards the privacy impact assessment this must now contain a description of the planned processing, an assessment of the risks for the personality or the fundamental rights of the data subjects concerned and the measures to protect the personality and the fundamental rights. Controllers are exempted from performing a privacy impact assessment, if they are certified according to Article 12 Revised DPA or if they comply with a Code of Conduct.


Simplified: Cross-border Data Transfer (Article 13 Revised DPA)


The requirements for a compliant data transfer to countries without an adequate data protection have changed: while individual data protection agreements for a specific transfer only need to be notified to the FDPIC before starting the transfer, more general safeguards for data transfers such as standard data protection clauses or codes of conduct need prior approval by the FDPIC. Such approval may either be granted within three months or the authority has to open an administrative investigation. Binding group internal data protection rules need prior approval by the FDPIC or alternatively by a competent authority of a country with an adequate data protection level.


Clarified: Codes of Conduct (Article 10 Revised DPA) / Certification (Article 12 Revised DPA)


The Revised DPA stipulates that professional and business associations can submit Codes of Conduct with regard to data protection in their field of interest to the FDPIC, which will take official position on the Codes and publish such position. Furthermore, the Revised DPA sets out that producers of data processing systems and programs as well as processors and controllers can subject their systems, products and services to the assessment of independent and acknowledged certification bodies. The FDPIC shall adopt implementing provisions for the recognition of such certification procedures within two years after the new DPA will have come into force.


Time Schedule


The Revised DPA will now be debated in the Swiss Parliament and the Swiss Federal Council predicts that the Revised DPA will come into force in August 2018. However, given the fact that inter alia the subject matter of the fines is still severely being criticized, it is questionable whether the Revised DPA will pass smoothly through the debates in the Swiss Parliament. The date of entering into force in August 2018, therefore, seems very optimistic.


Since the GDPR will apply already as from 25 May 2018 it is highly advisable for companies doing business in Switzerland to already be compliant with the GDPR as from the said date. All work done to be compliant with the GDPR is also relevant for the Revised DPA – especially now since it is even more aligned with the GDPR than the Predraft was.

14 September 2017: NKF Client Alert: NKF Banking, Finance & Regulatory Team – Update 6/2017: Partial revision of AMLO-FINMA: Consultation process until 16 October 2017

On 4 September 2017 FINMA published and started the consultation process of the draft revised version of the AMLO-FINMA. The draft revised ordinance amends and specifies various duties of the financial intermediaries such as the duties regarding supervision of branch offices and group companies abroad and duties regarding updating and verifying client information. The consultation process will last until 16 October 2017. The revised version of the AMLO-FINMA is expected to enter into force in 2019.

31 August 2017: Moritz Maurer elected as Vice President of the AIJA Corporate M&A Commission

Niederer Kraft & Frey is pleased to announce that NKF Senior Associate Moritz Maurer was elected as Vice President of the AIJA Corporate M&A Commission at the 55th Annual Congress in Tokyo held from 28th August to 1st September.

AIJA (International Association of Young Lawyers) is the only global association devoted to lawyers and in-house counsel aged 45 and under. AIJA currently has 4,000 members and supporters in 90 different countries.

31 August 2017: NKF Seminars: Another 9 months until the GDPR will become applicable – why companies in Switzerland need to (re)act!

Every company in Switzerland processes personal data. Also most Swiss companies bear a reference to the EU, by virtue of e.g. rendering services or offering goods to EU citizens, having a branch in the EU and processing personal data in this context. In such cases the General Data Protection Regulation (GDPR) will also apply to Swiss companies. The GDPR will be applicable as from 25 May 2018. The grace period for the implementation of the GDPR is running since 25 May 2016. This means that every Swiss company which is subject to the GDPR must be ready then. This is a matter of compliance.

17 August 2017: NKF Client News: New Guideline by SECO regarding Intra-Group Hiring of Services

The Swiss State Secretariat for Economic Affairs SECO, the Federal authority supervising the execution of the laws regulating the hiring of services by the Cantonal Labour Authorities, has issued a new guideline detailing the licensing requirements for intra-group hiring of services (Konzerninterner Personalverleih – Beurteilung der Bewilligungspflicht / Weisung 2017; Präzisierung der Weisungen und Erläuterungen zum AVG). In this guideline, SECO clarifies its original guideline of 2003 with respect to the licensing requirements of intra-group hiring of services, stating that as a matter of principle, (also) intra-group hiring of services requires a license.

The Swiss government (the Federal Council) adopted an amendment to the Ordinance on Banks and Savings Banks ("BankO"), resulting in exemptions from banking license requirements, from which FinTech companies (and others) may benefit.

This NKF Banking, Finance & Regulatory Team Update 4/2017 provides you with key aspects and timelines relating to the following topics:

CONTRACTUAL RECOGNITION OF STAY – CHANGE OF FINMA BANKING INSOLVENCY ORDINANCE

Together with the entering into force of the Swiss Financial Market Infrastructure Act (FMIA) on 1 January 2016, a new article 12(2)bis was introduced to the Banking Ordinance whereby banks and securities dealers shall ensure, both on a single entity as well as at the group level, that new agreements or amendments to existing agreements which are subject to foreign law or a foreign place of jurisdiction are only entered into if the counterparty recognises FINMA's right to impose a stay on the termination of agreements in accordance with article 30a of the Swiss Banking Act. On 16 March 2017, FINMA published certain amendments to the FINMA Banking Insolvency Ordinance (arts. 56 ss.) that further specify the requirements in connection with the recognition clause pursuant to article 12(2)bis of the Banking Ordinance.

SWISS DERIVATIVES TRADING REGULATIONS – UPDATE ON REPORTING OBLIGATION AND MARGIN RULES

On 1 April 2017, FINMA licensed SIX Trade Repository AG, Zurich, as a Swiss Trade Repository and recognised Regis-TR S.A., Luxembourg, as a foreign Trade Repository. Accordingly, counterparties may fulfil their reporting obligation under the FMIA by reporting to either of these Trade Repositories.

The rules for margining non-cleared OTC derivatives under the Financial Market Infrastructure Ordinance (FMIO) are currently being revised with the main goal of further aligning them with the EMIR rules. The consultation period ended on 13 April 2017 and the revised rules are expected to enter into force in the first half of August 2017.

2 May 2017: NKF Client Alert: Major re-interpretation of Swiss competition law: Per se prohibition of price-fixing, quantity-limiting and market-allocating agreements regardless of their effect

On 21 April 2017, after almost 10 months, the Swiss Federal Supreme Court published reasons for its judgment of 28 June 2016 in the matter of Colgate-Palmolive Europa Sàrl (former Gaba International AG). With a majority of 3 to 2, the Federal Supreme Court rejected an appeal made against the judgment of the Swiss Federal Administrative Court and confirmed the Swiss Competition Commission’s (COMCO) 4.8 million Swiss Franc sanction against Gaba. COMCO imposed the sanction in November 2009 because Gaba had contractually obliged its Austrian licensee (Gebro) not to export certain products out of Austria. According to COMCO, the agreement significantly restricts competition in Switzerland. The Federal Supreme Court held that price-fixing, quantity-limiting and market-allocating agreements in the sense of art. 5 para. 3 and 4 Cartel Act are generally significant restrictions of competition within the meaning of art. 5 para. 1 Cartel Act, regardless of their effect.

From 25 until 28 January 2017, Niederer Kraft & Frey (NKF) will be present at the 2017 M&A Winter Seminar in La Clusaz, France, which is organized by the International Association of Young Lawyers (AIJA).

3 January 2017: Clara-Ann Gordon appointed as Co-Chair of the IAPP Basel/Zurich KnowledgeNet Chapter

1 January 2017: Adrian Kammerer elected as member of the managing committee of the Zurich Bar Association

Niederer Kraft & Frey (NKF) is pleased to announce that NKF, with partner Adrian Kammerer, is again represented in the managing board of the Zurich Bar Association.

On 25 November 2016, at the Zurich Bar Association’s special winter meeting, Adrian Kammerer was honourably elected to be member of the managing committee of the Zurich Bar Association. As one of his duties, he will represent and foster major corporate law firms and the legal professional environment.

The Zurich Bar Association is the professional organisation of the independent and self-employed attorneys in the Canton of Zurich. It forms the largest section of the Swiss Bar Association and registers currently over 3000 members.

22 December 2016: NKF Client Alert: Revision of the Swiss Data Protection Act – New Duties for Companies Doing Business in Switzerland

On 22 December 2017 the Federal Department of Justice and Police published the long expected pre-draft of the revised Swiss Data Protection Act (“DPA”). The new DPA will have serious effects on companies doing business in Switzerland which are well advised to start implementation of the required measures now in order to be fully compliant once the revised DPA will enter into force (presumably in 2018).

The revised DPA will impose several new duties on all companies doing business in Switzerland and it foresees serious fines for those companies that do not comply. Once the revised DPA will be in force, the data protection supervisory authority will have a much stronger power to enforce the law and punish firms by imposing very high fines (from previously CHF 10,000) of up to CHF 500,000 (in the case of intent) and CHF 250,000 (in the case of negligence).

Consequences for Companies doing Business in Switzerland

The NKF Data Protection team has analyzed the proposed revision of the DPA (as well as similar legislative projects in the European Union). The revision of the DPA (as well as similar changes in data protection laws in the EU) will lead to a paradigm shift in that violations of data protection legislation will forthwith expose companies to serious sanctions, whilst, so far, data protection breaches very rarely entailed any material consequences.

In the light of this, companies must act now and ensure to be fully compliant once the revised DPA (and as far as they offer services and goods in the EU, the new EU data protection legislation) will be in force. They must, in particular, (1) perform a thorough due diligence to establish a comprehensive overview on all personal data which they process as well as the relevant processes of using and disclosing such personal data, (2) implement required processes and policies to ensure compliance with the revised law (3) monitor, forthwith, use of personal data to ensure strict observations of the new rules and (4) in general, raise awareness within the workforce so as to avoid violations of the new DPA and exposure to the new sanction regime.

Companies doing business in Switzerland must act fast and implement the necessary measures in due course as the revised DPA is expected to come into force in 2018 (and the new legislation in the EU which may apply to Swiss companies doing business in the EU and which will be similar to the revised DPA will enter into effect on 25 Mai 2018).

1 September 2016: Niederer Kraft & Frey bolsters its TMT and Tax practices with two Lateral Hires and welcomes Clara-Ann Gordon and Christina Rinne

Niederer Kraft & Frey (NKF) is pleased to announce the expansion of its Technology, Media & Telecommunications (TMT) and Tax practices through the additions of Clara-Ann Gordon and Christina Rinne, effective 1 September 2016. Clara-Ann and Christina were previously partners at Pestalozzi in Zurich.

Clara-Ann Gordon will join NKF as a Partner. Her areas of expertise include IT, telecommunications and media law with extensive experience in advising and representing clients in IT and outsourcing transactions as well as before state and arbitration courts. Clara-Ann also has a breadth of experience in data protection, internal investigations/e-discovery, internet and telecommunications matters. She is recognized by Chambers and other legal directories as a leading TMT lawyer. 14 January 2015: Completing M&A Transactions Successfully with Chinese Companies in a Swiss Context

On 3 November 2014 NKF and Citi hosted a conference regarding "Completing M&A Transactions Successfully with Chinese Companies". 12 January 2015: New Year's Musical Prelude Concert with Beatrice Rana

On 12 January 2015 Niederer Kraft & Frey celebrated the traditional musical prelude to the New Year at the "Zunfthaus zur Meisen". 4 December 2014: Niederer Kraft & Frey awards two prizes for master theses

Niederer Kraft & Frey annually awards two prizes for exceptional master theses in the area of national and international business law to students of the master degree programmes at the University of Zurich.

The 2014 awards go to Mr. Fabio Andreotti for his thesis "Finanzmarktrechtliche Produktverbote: Anwendungsbereich und Grenzen aus rechtlicher und ökonomischer Sicht" (first place) and to Mr. Alessandro Stanchieri for his thesis "Die Business Judgment Rule" (second place). The awards include prize money in the amount of CHF 6,000 for first place and CHF 4,000 for second place.

The award continues to be very popular among students at the University of Zurich as evidenced by the increasing number of high quality submissions received by NKF each year. The themes chosen by many students are influenced not only by their coursework, but also by their practical experience they receive during their internships.

3 December 2014: NKF under a single roof: Niederer Kraft & Frey sets the course for further growth

NKF has rented all upper floors of the prestigious heritage building at Bahnhofstrasse 53, which – with 6,000m2 – will offer sufficient space for all employees and for continuous growth in the future. In addition to attractive and modern offices, the new location will host a conference floor including a large auditorium as well as two terraces overlooking the roofs of Zurich's city centre and its local mountain, the Uetliberg. The move is planned for 2018.

The building at this prominent location in the heart of Zurich's banking district will have been entirely renovated by 2018, so that the attractive offices will meet the most modern standards. For the renovation, the landlord has engaged the renowned Swiss architect, Tilla Theus, who is specialising in the renovation of historical buildings. She made a name for herself with the restoration of Zurich's luxury hotel Widder, the complete redevelopment of Swiss Re's headquarters and the new construction of the FIFA building.

"The move to the new location is a direct consequence of our dynamic development. The new offices will reunite all employees under one roof and allow us to successfully continue our current course for growth. We are looking forward to continuing to be the only major Zurich law firm to welcome its clients at the traditional and central location of the Bahnhofstrasse ", says Andreas Casutt, Managing Partner of NKF, as the reason for the choice of location.

We are very sorry to share the news of the sudden death of our partner Dr. Urs Pulver.

Urs Pulver worked at NKF since 1989 and had been a partner for more than 17 years. He passed away unexpectedly on 3 May 2014.

Urs Pulver was highly regarded by all due to his excellent legal expertise. He was a kind-hearted person, always considerate for the well-being of his fellow men. His natural warmth, high commitment and modesty will continue to serve as an example for us.

His passing is a grievous loss for all who have known and worked with him. We mourn our much-valued friend, partner and colleague.

We offer our heartfelt condolences to his family members.

28 March 2014: Information Release

As previously reported, on 16 April 2013, the US Department of Justice (DoJ) indicted Mr. Edgar Paltzer, a former partner of Niederer Kraft & Frey AG (NKF or the Firm), for aiding and abetting US taxpayers to avoid paying US taxes.

Immediately following the indictment, NKF appointed a leading US law firm to conduct a comprehensive internal investigation into the Firm's dealings with US private clients and, through its US counsel, proactively entered into a constructive dialogue with the DoJ. The Firm cooperated with the DoJ in full compliance with Swiss and US law.

During the course of this cooperation, the DoJ advised NKF that neither the Firm nor any of its current partners and employees are the targets of a US criminal investigation.

As previously reported, Mr. Paltzer resigned from NKF in December 2012 and left the Firm in April 2013 following his indictment. Mr. Paltzer pleaded guilty on 16 August 2013 and is scheduled to be sentenced in New York on 12 September 2014.

On 20 April 2013, NKF announced the resignation of its partner Mr. Markus A. Frey. Given Mr. Frey’s role as chairman of Frey & Co., Administration AG (formerly Bank Frey & Co. AG), he considered his resignation to be in the best interest of the Firm.

27 November 2013: Niederer Kraft & Frey provides English translation of the "Ordinance against Excessive Compensation with respect to Listed Stock Corporations" (Verordnung gegen übermässige Vergütungen bei börsenkotierten Aktiengesellschaften)

On 20 November 2013, the Swiss Federal Council published the final rules implementing key elements of the Minder Initiative in the "Ordinance against Excessive Compensation with respect to Listed Stock Corporations". NKF has prepared an English translation of the Ordinance available [here].

23 September 2013: Niederer Kraft & Frey honoured for Global M&A Deal of the Year: Private Equity at The American Lawyer Global Legal Awards 2013

Global Legal AwardNiederer Kraft & Frey was chosen as an honoree, along with other firms, for involvement in the Global M&A Deal of the Year: Private Equity - Walgreen/Boots. NKF advised KKR and Alliance Boots in connection with Walgreen's acquiring a 45% equity stake in Alliance Boots in a cash-and-stock deal valued at approximately $6.7 billion. Walgreens will have the option to proceed to a full combination by acquiring the remaining 55% of Alliance Boots at a later date for approximately $9.5 billion in cash and stock.

Alliance Boots is the Swiss parent company of an international pharmacy-led health and beauty group operating Europe’s largest pharmacy chain, and Walgreens is the largest drug store chain in the United States. The transaction is expected to create the world's largest network of pharmacy-led health and beauty retail stores and buyer of prescription drugs.

ALM's The American Lawyer announced its inaugural Global Legal Awards recognizing and honouring outstanding cross-border legal work from around the globe, across several practice areas and disciplines - in both transactions and disputes. ALM intended to identify the biggest and most important commercial legal matters that involved lawyers and parties from more than one jurisdiction.

NKF has reluctantly accepted the resignation of its long-time partner Dr. Markus A. Frey. Dr. Frey tendered his resignation because he concluded that it was in the best interests of NKF.

Dr. Frey, the son of one of NKF’s founders, leaves with NKF’s best wishes and gratitude for his valuable contributions to NKF over his long service.

16 January 2013: New Year's Musical Prelude Concert with Nareh Arghamanyan & Hyeyoon Park

On 16 January 2013 Niederer Kraft & Frey celebrated the traditional musical prelude to the New Year at the "Zunfthaus zur Meisen". Nareh Arghamanyan (pianist) and Hyeyoon Park (violinist) gave a lunchtime concert for guests and partners of Niederer Kraft & Frey. The musicians performed works of Johann Sebastian Bach, Ludwig van Beethoven and Robert Schumann. After the concert guests were invited to a buffet lunch in the "Porzellanmuseum" where a toast was raised to a successful New Year.

1 September 2012: Niederer Kraft & Frey partner Sandro Abegglen appointed external expert for new Swiss Financial Services Act

Niederer Kraft & Frey partner Sandro Abegglen has been appointed by the Swiss Finance Department to advise, as one of only five external experts, on the design of a new Swiss Financial Services Act which is intended to enter into force in 2015 or 2016. The new law will provide for a conclusive regulatory framework on inter alia rules of conduct and product regulations covering any type of financial services.

1 July 2012: Niederer Kraft & Frey welcomes the Foundation Law expert Prof. Dr. Dominique Jakob as new Of Counsel in the field of Foundation and Association Law

Prof. Dr. Dominique Jakob, M.I.L. (Lund) joined our firm as Of Counsel as of 1 July 2012. Prof. Jakob studied law in Germany and Sweden, habilitated in Foundation Law and is licensed to teach the subjects Civil Law, International Private Law, Comparative Law, Civil Procedural Law, Business Law, and Tax Law.

Since 2007, he holds a chair for Private Law at the University of Zurich, where he established the „Zentrum für Stiftungsrecht“, the „Zürcher Stiftungsrechtstag“ and the „Schriften zum Stiftungsrecht“. He mainly focuses on the ZGB’s (civil code’s) core areas, (international) estate planning and wealth management (including trusts) as well as on national, comparative, European and international foundation law (with a focus on Swiss, Liechtenstein and German relations). He is author of numerous publications in Switzerland and abroad, member of the advisory boards of various institutions and acts as counsel to governments, financial institutions, companies, foundations, associations, and private clients.

6 February 2012: Prof. Dr. Isabelle Romy nominated for election as a member of the Board of Directors of UBS AG

On 3 February 2012, the Board of Directors of UBS AG has announced that it has decided to propose Isabelle Romy for election to the Board of Directors of UBS AG at the forthcoming Annual General Meeting of UBS on May 3, 2012. Isabelle Romy is a partner with Niederer Kraft & Frey AG (NKF) since 2003. NKF is honoured that one of its partners is being proposed for such an important position. In order to ensure the independence of all parties involved, Isabelle Romy will resign from the partnership of NKF in the event of her election to the Board of Directors of UBS AG.

We are pleased to announce that we have further strengthened our position in the area of social security and pension matters. As of 1 November 2011, Dr. Hermann Walser, Attorney-at-Law, supports our firm as Of Counsel. Dr. Hermann Walser has been acting as lawyer in the field of social security and pension law since 1969. Besides his activity as a lawyer, Mr. Walser was Director of the Swiss Association of Pension Funds (Schweiz. Verband für privatwirtschaftliche Personalvorsorge/Schweiz. Pensionskassenverband ASIP), adjunct judge at the Federal Supreme Court as well as at the Zurich Social Security Court. 29 September 2011: NKF celebrated its 75th anniversary at EWZ Unterwerk Selnau

NKF celebrated its 75th anniversary with over 400 guests at a lavish party in the EWZ Unterwerk Selnau. During a cocktail prolongé, we raised a toast to NKF's 75 years existence as a law firm. In addition to Andreas Casutt's and Thomas Sprecher's speeches, the band "Just Jazz" and the comedian "Goegi" provided light-hearted entertainment. The young catering-team around Marco Pfleiderer served culinary delights until late at night. We thank all our guests, who contributed to making this celebration a success.

June 2011: Dr. Tadas Zukas of Niederer Kraft & Frey Selected Erasmus Student Ambassador by the EU Commission

In context of the 25th anniversary of the Erasmus Programme which will be marked next year under Danish Presidency, the European Commission (EU Commission) selected Dr. Tadas Zukas of Niederer Kraft & Frey as the Erasmus Student Ambassador.

The EU Commission has received 87 proposals from 33 countries. Dr. Zukas was elected to represent his home country Lithuania and, together with other Ambassadors, will be invited to upcoming Erasmus events in 2012. The EU Commission will also produce a brochure featuring all Ambassadors.

Dr. Zukas studied law, worked as a research and teaching assistant and completed various legal internships in Lithuania, Germany, Switzerland and the U.S. He is currently a junior associate in the Commercial Team of Niederer Kraft & Frey.

4 April 2011: NKF hosts Client Event on Corporate Governance

On 4 April 2011, NKF hosted a client event on corporate governance as part of a series of events which Niederer Kraft & Frey will organize this year to celebrate its 75th anniversary.

In a first part, Prof. Dr. Peter Forstmoser presented an overview on recent developments in Swiss corporate governance. This was followed by a lively panel discussion moderated by Gaudenz Zindel with Dr. Romeo Cerutti (General Counsel Credit Suisse Group), Dr. Markus Diethelm (General Counsel UBS), David Frick (Member Executive Board of Nestlé), and Dr. Thomas Werlen (General Counsel Novartis).

To kick off its 75th anniversary year, NKF greeted more than 200 clients at the Zunfthaus zur Meisen for a musical prelude to the new year on January 11, 2011. Teo Gheorghiu, the young pianist, delighted guests with works by Mozart and Chopin in his third NKF concert. Die Auszeichnungen 2010 gehen an Herrn Christian Lütolf für seine Arbeit "Wie sollte man eine global operierende Bank abwickeln? – Herausforderungen internationaler Bankeninsolvenzen" (erster Preis) und an Herrn Rainer Baisch für die Arbeit "Der Arbeitnehmerschutz bei M&A Transaktionen" (zweiter Preis).


Die Feier zur Übergabe des Preises findet am 8. November 2010 um 18.00 Uhr in den Räumlichkeiten von Niederer Kraft & Frey statt.

Niederer Kraft & Frey wins the 2010 ILO Client Choice Award for Switzerland

Established in 2005, the ILO Client Choice Awards recognize those law firms and partners around the world that stand apart for the excellent client care they provide and the quality of their service. The criteria for the awards focus on an ability to add real value to clients' business above and beyond the other players in the market. This year's winners were chosen from more than 2,000 individual assessments received from corporate counsel worldwide.

The winning firms and partners are identified based on an International Law Office (ILO) subscriber survey of corporate counsel only. Firms and partners are assessed on the following criteria:

•    Quality of legal advice
•    Value for money
•    Commercial awareness
•    Effective communication
•    Billing transparency
•    Tailored fee structures
•    Depth of team
•    Response time
•    Sharing of expertise
•    Use of technology

The awards research team also conducts interviews and additional research to establish the shortlist. Winners are chosen only where sufficient data is available. While based on thorough and coherent research, the results remain the subjective views of the ILO team.

On 8 January 2010 the NKF client event "Musikalischer Neujahrsauftakt mit Teo Gheorghiu" has taken place at Zunfthaus zur Meisen. Over 150 clients attended the event.

Niederer Kraft & Frey wins the Zurich Lawyers' Football Championship (ZAM) 2009

After a 2:0 semi-final win over Homburger on 21 September, 2009, NKF advanced to the ZAM finals 2009. In the final on 28 September, 2009, NKF won over Baer & Karrer's strong team in a thrilling and fair game by 1:0. NKF thereby successfully defended its 2008 title.

NKF publication about the disclosure of bank customer's confidential data

April 2009: NKF publication "Amts- und Rechtshilfe: 10 aktuelle Fragen". Procedures of administrative and judicial assistance may lead to a loss of a bank customer's protection otherwise granted by the Swiss banking secrecy. The latest NKF publication covers this hot topic as American authorities recently have requested Swiss banks to release information about certain of their customers. NKF authors: Dr. Peter C. Significant development: Niederer Kraft & Frey becomes a corporation (Aktiengesellschaft, AG)

June 2008: The purpose of this change is to appropriately reflect our business activities which have continuously increased in the past decades and to ensure that these businesses are carried out in a legal form which is appropriate to them. The rendering of legal advice by a company has been allowed by a ground-breaking decision of the committee supervising the lawyers for the Canton of Zurich. Against this background, we are providing our legal services as Niederer Kraft & Frey AG as from 1 June 2008.

New law on supervision of providers of auditing services enters into force on 1 September 2007

29 August 2007: New law on supervision of providers of auditing services enters into force on 1 September 2007. The Swiss Federal Council has decided that the new law on the supervision of providers of auditing services and the related ordinance shall enter into force on 1 September 2007.

NKF supports Teo Gheorghiu

August 2007: Since July NKF is supporting Teo Gheorghiu, a young, talented pianist. Gheorghiu won the San Marino International Piano Competition as well as the prize for best interpretation of a romantic piece of music. He also placed first in the International Franz Liszt Piano Competition. In 2005 he starred in the movie "Vitus" along with Bruno Ganz.

NKF wins soccer "Mundialito" for the 4th time

On 7 July 2007 NKF won for the 4th time the so-called "Mundialito", a football tournament of 18 Zurich based law firms (András A. Gurovits Kohli, François M. Bianchi).

Peter Forstmoser named to be the most influential business lawyer in Switzerland

May 2007: The business magazine BILANZ names Peter Forstmoser, partner at Niederer Kraft & Frey, as the most influential business lawyer in Switzerland. According to the list published by BILANZ, Rolf P. Jetzer and Peter R. Isler, two other partners at NKF, rank among the top ten lawyers in Switzerland. NKF is proud of this outstanding performance. It mirrors Niederer Kraft & Frey's motto "excellence in practice" in serving its clients.

Legislation amendment to improve protection against spamming

April 2007: On 1 April 2007 amendments to the Swiss Telecommunications Act (FMG) and the Law against Unfair Competition (UWG) entered into force which prohibit spamming and oblige telecommunications service providers to implement technical measures against spamming.

CISA entered into force

1 January 2007: The Collective Investment Schemes Act (CISA) entered into force. NKF partner Prof. Peter Forstmoser chaired the expert commission that drafted the new law. (Peter Forstmoser)
