Evolva Holding SA completes private placement of 63.8 million shares to Veraison

Niederer Kraft Frey advised Evolva Holding SA (“Evolva”) in connection with a private placement of 63.8 million newly issued registered shares to Veraison SICAV – Engagement Fund for a purchase price of CHF 0.117645 per share, raising gross proceeds in the amount of CHF 7.5 million. Evolva intends to use the proceeds from the placement to finance ongoing activities to strengthen and further develop its business. Veraison’s shareholding in Evolva represents 6.2% of Evolva’s issued share capital following settlement of the transaction on 6 December 2021. Pre-emptive rights were excluded.

Evolva is a Swiss biotech company focused on the research, development and commercialisation of nature-based ingredients for use in flavours and fragrances, health ingredients and health protection products. Its shares are listed on SIX Swiss Exchange.
