Experience

Andrea has expertise in advising private equity firms and corporates on (public and private) M&A transactions, including public to private transactions and subsequent corporate reorganization topics or block trades. In addition, Andrea regularly advises investment banks and issuers in a range of (equity and debt) capital markets transactions, including initial public offerings, rights offerings, secondary share placements or straight bonds. Andrea’s practice includes advising lenders, borrowers and private equity sponsors on complex cross-border financing transactions, as well as mergers and other corporate reorganisations and general corporate law matters.

  • Advised Kernkraftwerk Leibstadt AG on the placement of a CHF 200 million bond (CHF 175 million plus CHF 25 million top up) with a term to maturity of 5 years
  • Advised Credit Suisse, J.P. Morgan, UBS and other members of the bank syndicate in connection with SoftwareONE Holding AG’s initial public offering on SIX Swiss Exchange
  • Advised Steinhoff Europe AG on the implementation of its corporate and financial restructuring
  • Advised Stadler Rail AG on its Initial Public Offering
  • Advised BoFA Merrill Lynch, Credit Suisse, Goldman Sachs and the other members of the offering syndicate in connection with SIG Combibloc’s initial public offering on SIX Swiss Exchange
