Philipp Candreia specialises in M&A transactions with a focus on regulated markets, in particular financial services and telecom.

Philipp also specialises in banking regulatory licensing and compliance matters, as well as internal and regulatory investigations and enforcement matters.

He advises clients on large shareholding disclosure obligations under Swiss stock exchange regulations, and represents clients before FINMA, the Swiss Financial Market Supervisory Authority in connection with applications for, and changes to, licenses for FINMA regulated activities.

Experience

Recent experience includes:

  • Wind down of the Swiss private banking branch of an international banking group, including by way of complex cross border asset transfer and referral agreements
  • Representing Orange Business Services, Euronext listed Orange Group, in its acquisition of Business & Decision
  • Representing a listed Italian appliance manufacturer in the acquisition of a 40% participation in a Swiss manufacturer of coffee machines, including a shareholders agreement with option rights to acquire all remaining shares
  • Representing EFG Bank AG in connection with the asset transfer and integration of the business of BSI SA into EFG
  • Negotiating a framework agreement for strategic technology and supply collaboration for Navistar regarding Navistar’s strategic alliance with Volkswagen Truck & Bus, including an equity investment in Navistar by Volkswagen Truck & Bus, framework agreements for strategic technology and supply collaboration and a procurement joint venture
  • Forensic investigation for a Swiss Private Bank to assess potential individual responsibilities of senior management, directors and key employees in connection with alleged international bribery matters
  • Conducting large scale internal investigations for a Swiss Private Bank in connection with money laundering and corruption investigations of Swiss and foreign authorities against third parties in the 1MDB and the FIFA matters
  • Representing various clients in connection with cross-border administrative and judicial assistance requests in connection with foreign investigations in competition law, stock exchange, and/or tax matters
  • Representing EFG Bank AG for Swiss banking regulatory approvals in connection with the acquisition of BSI SA
  • Continuing support for various clients, in particular fund structures, in connection with large shareholding reporting obligations under Art. 120 Financial Market Infrastructure Act FMIA
