Benjamin Humm practice focuses on corporate law (incorporation, restructuring of capital, liability of corporate bodies including shareholders’ disputes, dissolution and liquidation), M&A transactions (drafting and negotiation of share purchase agreements, transfer of assets) and commercial law generally. He also assists private clients and family offices in their investments and overall legal needs.

Benjamin Humm advises Swiss and international corporations and financial institutions active in different industries in M&A, corporate, commercial and contract law (distribution, agency or franchise agreements). His expertise also includes investment and shareholders’ agreements, joint ventures, commercial contracts as well as commercial and/or shareholders’ disputes.

Recent work highlights include:

  • Advising the shareholder of a watch components manufacturer in Fleurier in its sale to a private equity fund in Zug*
  • Advising a French group specialized in the energy sector in its acquisition of a Swiss company proposing turnkey solar solutions*
  • Advising a start-up company in the life science industry in its successive rounds of financing*
  • Advising a biotech company in its successive rounds of financing*
